📜 Terms of Service

1. Who we are
ComIO.Studio is distributed by Sebastian Pietrasiak, ul. Patriotów 3A, 32-593 Żarki, Poland, email: info@comio.studio. In these documents we refer to ourselves as “we” (or “us”).
These Terms apply to the ComIO.Studio desktop application (the Application), the website, license activation, and use of the Free and ProBaud BYOK plans.
2. Acceptance
By downloading, installing, registering, buying, activating, or using ComIO.Studio, you accept these Terms.
If you do not accept them, do not use the Application.
You must be at least 18 years old to use the Application or to buy or use paid features.
3. Plans
ComIO.Studio is available as a free Free plan and a paid ProBaud BYOK plan.
The sections below apply to all users, except sections that name a specific plan, which apply only to users of that plan.
4. Free plan
The Free plan is free of charge. It does not require payment or a subscription. The AI Assistant is not available on the Free plan.
On first launch or after local data is removed, the Application may register the device with our licensing service and receive a Free session token. This token works like a technical pass for the device: it helps keep plan status, restore the session, handle updates, prevent abuse, and maintain service continuity. It is not a purchase or paid activation.
If the same device has an active paid plan, the licensing service may restore that plan instead of creating a new Free session. This lets the user recover access after local data is cleared, if the Application can safely recognize the device.
5. Free plan features
The Free plan includes core Application features, including:
- serial terminal with control lines and RX/TX counters;
- file logging;
- RX/TX data buffer in ASCII and HEX modes;
- M1–M6 macros;
- command bar and keyboard shortcuts;
- firmware programmer;
- theme management;
- application updates;
- an in-app information or promotional panel.
Features and modules from paid plans are not available in the Free plan. The user may not independently extend the Free plan or unlock features intended for paid plans. The Free plan scope and the availability of specific modules follow the current Application version and our communications.
6. Information and promotional panel (Free plan)
The Free plan may include an information, promotional, advertising, or similar panel inside the Application.
In the panel, we may show, among other things:
- product and release information;
- technical or organizational messages;
- information about paid plans;
- promotional content about ComIO.Studio or our other products;
- advertisements, including non-personalized ads or — if you give the appropriate consent — personalized ads;
- other content related to maintaining and developing the Application.
The panel is part of the Free plan model and a condition for its free provision. The Free plan does not include an in-app setting to disable the panel, unless the current version of the Application clearly provides such an option.
If displaying certain advertising content, using third-party ad providers, cookies, similar technologies, or other mechanisms requires your consent, we will ask for it as required by applicable law.
Withholding consent for personalized ads, advertising cookies, or similar mechanisms may result in the panel showing non-personalized content, our own promotional messages, technical information, or other content that does not require such consent. Withholding such consent is not in itself a breach of these Terms.
We may change how the panel works, including its appearance, display frequency, type of content, and third-party providers, as long as this is done in accordance with applicable law.
7. ProBaud BYOK plan
ProBaud BYOK unlocks the AI Assistant in the Application and requires a subscription or a one-time license.
BYOK means “Bring Your Own Key”. You use your own AI provider access, such as your own API key, provider account, or locally authenticated provider tool.
ProBaud BYOK unlocks AI Assistant functionality in the Application. It does not include AI tokens, API access, provider accounts, or AI usage credits. We do not pay for your AI usage. Your AI provider may charge you separately.
A one-time or lifetime license covers the major version line shown at activation, for example version 1.x.xx. Updates within that line are included while they are provided. A new major version, for example 2.x.xx, may require a separate license unless the offer clearly says otherwise.
8. License and activation (ProBaud BYOK plan)
Paid access requires a valid license key or license credential.
A license is personal to the buyer unless the checkout or invoice says otherwise.
You may not sell, share, rent, publish, or bypass a license key or license credential.
We may suspend or block a license if there is fraud, chargeback, abuse, security risk, license sharing, or another serious breach of these Terms.
9. Payments, renewals, and refunds (ProBaud BYOK plan)
Prices and billing terms are shown at checkout.
Subscriptions renew automatically unless cancelled before the next billing date.
Cancelling a subscription stops future renewals. It does not automatically refund the already paid period.
Mandatory consumer rights always apply.
If mandatory law gives you a right of withdrawal, you may use it within the legal deadline. For digital content or digital services, that right may end after activation or access only if the checkout process collects the consent and acknowledgement required by law.
Refunds are handled according to mandatory law and the checkout provider rules. We may refuse a refund where mandatory law allows refusal, for example after lawful activation and use of a paid digital feature.
Chargebacks may result in license suspension until the payment dispute is resolved.
Complaints about paid access may be sent to info@comio.studio. We will answer within the time required by law.
10. BYOK and third-party AI providers (ProBaud BYOK plan)
In ProBaud BYOK, AI requests go from your device to the AI provider or local provider tool selected by you.
During normal BYOK use, we do not receive AI prompt content, AI responses, API keys, provider account sessions, or token usage. If you voluntarily include part of such content in a support request (for example a prompt or an AI response), we receive only what you choose to send.
You are responsible for the provider you choose and for following that provider’s terms.
If a third-party provider changes, blocks, limits, bills, or removes its service, we are not responsible for that provider’s decision.
11. Safety-critical use
ComIO.Studio can send commands, run macros, use scripts, flash devices, and, where your plan includes it, assist with AI-based debugging.
You must not treat ComIO.Studio, the AI Assistant, generated code, macros, scripts, or any Application output as a safety system.
You are responsible for testing every command, script, macro, firmware action, and AI suggestion before using it on real hardware.
Do not use ComIO.Studio as the only safeguard for machines, vehicles, medical systems, industrial systems, power systems, or any environment where failure could cause injury, damage, downtime, data loss, or legal breach. In such environments, use independent safety procedures and safeguards, such as lockout/tagout, emergency stops, access control, human authorization, and on-site verification where appropriate.
12. No warranties
ComIO.Studio is provided “as is” to the maximum extent allowed by law.
We do not guarantee that the Application, AI output, generated code, serial communication, flashing, scripts, macros, updates, website, licensing service, information or promotional panel, or third-party services will be error-free, uninterrupted, secure, available, or fit for a specific purpose.
You use the Application at your own risk.
Nothing in these Terms limits mandatory rights that cannot be excluded by law.
13. Your responsibility
You are responsible for:
- your devices, firmware, commands, scripts, macros, logs, settings, and files;
- backups before using the Application;
- verifying Application and AI output before using it;
- complying with law and third-party terms;
- keeping your license and provider credentials secure;
- using the Application without bypassing security, technical limits, or plan boundaries.
You must not use the Application to break law, attack systems, bypass security or licenses, overload services, infringe rights, or endanger people, property, or equipment.
14. Limitation of liability
To the maximum extent allowed by law, we are not liable for indirect loss, lost profit, lost data, downtime, device damage, production loss, loss caused by AI output, or loss caused by third-party services.
Where liability cannot be excluded:
- for a Free plan user, our total liability is limited to the lowest level permitted by mandatory applicable law, as the Free plan is provided free of charge;
- for a ProBaud BYOK user, our total liability is limited to the amount you paid for ComIO.Studio in the 12 months before the event causing the claim.
Nothing in these Terms excludes liability that cannot be excluded by mandatory law.
15. Intellectual property
The Application, website, brand, code, design, documentation, and related materials belong to us or licensed third parties.
The Application is licensed, not sold. Even after payment, ownership remains with us; the User does not acquire ownership of the Application or its source code.
You receive only the right to use the Application according to these Terms and, for paid plans, an active license.
You may not copy, resell, reverse engineer, remove protection from, or distribute the Application except where mandatory law allows it.
16. Updates and changes
We may update the Application, website, prices, features, technical limits, and these Terms.
Changes do not remove paid access already granted for the current paid period, unless required by law, security, third-party service changes, or abuse prevention.
For security, legal compliance, abuse prevention, critical bug fixes, or service continuity, we may require or automatically apply critical updates. Older versions may be limited, blocked, or no longer supported if they create security, legal, technical, or abuse risk. A critical update may require application restart.
Material changes will be announced with reasonable notice where practical.
17. Remote support and diagnostics
For support, diagnostics, security, abuse prevention, and service continuity, we may remotely request the Application to perform internal technical operations and retrieve their results (e.g., error logs, diagnostic data, or technical configuration). Retrieval occurs at the next connection of the Application to our licensing service and is limited to data originating from the Application.
18. Termination
You may stop using the Application at any time.
We may suspend or terminate access if you breach these Terms, misuse the Application, share licenses, create security risk, bypass plan restrictions, abuse our infrastructure, or fail to pay.
Sections about safety, liability, intellectual property, payments, privacy, and disputes remain effective after termination.
19. Law and disputes
These Terms are governed by Polish law, without limiting mandatory consumer protection rights.
You may contact info@comio.studio before starting a formal dispute so we can try to resolve the issue. This does not limit any mandatory right to go to court or use another lawful complaint path.
